SERVICE AGREEMENT

Provider: TENSORIS TECHNOLOGY (HK) LIMITED | Contact: hello@withelira.com
This Service Agreement (this “Agreement”) is a legally binding agreement between you and TENSORIS TECHNOLOGY (HK) LIMITED and its affiliates (collectively, “we,” “us,” or “our”). The Privacy Policy is an integral part of this Agreement and governs all rules relating to the processing of personal data. Please read this Service Agreement and the accompanying Privacy Policy carefully and in full. By tapping “Agree & Continue” in the Elira application (collectively, the “Service”), this Agreement and the Privacy Policy become effective and binding upon you. If you do not agree to any provision of this Agreement or the Privacy Policy, or if you are under 18 years of age, do not tap to agree and immediately stop using the Service.
All AI responses provided through the Service are generated by artificial intelligence programs and do not come from therapists, physicians, or other human professionals.
1. SERVICE OVERVIEW
1. Elira is an AI-assisted tool for personal expression, listening, and reflective organization. Depending on the version, device, region, and subscription status, key features may include:
(1) Text-Based Expression: Users may record their current thoughts and feelings in text form;
(2) Listening Preference: Users may choose “Just Listen” or “Help Me See It Differently.” This selection only affects the analytical perspective used in the subsequent reflection process. During a session, the Service does not generate real-time AI text responses and does not display a silent-companionship status;
(3) Reflection Organization: Elira may generate a Key Thought, Reflection Constellation, and Final Reflection based on the user’s expression;
(4) Private Journal: Users may save important sessions and reflection results as private journal entries and may view or delete them at their discretion.
The Service does not provide medical diagnosis, psychotherapy, medical advice, or emergency response services. All AI-generated content is for reference only and is not a substitute for professional advice from licensed physicians, therapists, or other qualified professionals. We do not continuously monitor your safety status in real time. We conduct only limited risk detection when you submit content and may provide access to relevant crisis-support resources based on that detection. The crisis-support page itself only provides links to external support resources and does not provide emergency intervention.
2. If you or someone around you is facing an immediate physical or mental-health emergency, contact local emergency services immediately. In the United States, call 911, or call or text the 988 Suicide & Crisis Lifeline.
3. The product does not maintain a persistent registered-account system. A substantial amount of session and Journal content is stored locally on your device, and our servers do not retain this type of local data. Device damage, uninstalling the App, system cleanup, or changing devices may result in permanent loss of local data, which we cannot remotely view, export, or restore. You are responsible for backing up important Journal and session content. We cannot assist in recovering data lost from your device.
4. You agree that we may deliver agreement updates, notices, disclosures, and other important information to you electronically instead of providing paper documents. Such electronic records may be delivered through in-app pop-ups or to the contact email address you have provided. You are responsible for reviewing the latest versions of this Agreement and the Privacy Policy periodically.
2. ELIGIBILITY
1. By using the Service, you represent and warrant that all of the following are true:
(1) You are at least 18 years old and have reached the legal age of majority in your place of residence;
(2) You have full legal capacity to enter into a valid and binding contract;
(3) You are not located in a country or region subject to U.S. government embargoes or sanctions, are not listed on the U.S. Department of the Treasury’s Specially Designated Nationals and Blocked Persons List (SDN List) or any similar restricted-party list, and are not subject to any applicable business prohibition;
(4) Applicable law does not prohibit you from using the Service;
(5) We have not previously terminated your access to the Service, unless you have obtained our written permission; and
(6) You agree to comply with this Agreement, the Privacy Policy, and any additional rules subsequently published by the platform.
If you cease to satisfy any of the foregoing conditions, your authorization to use the Service automatically terminates and you must stop using it. We may restrict or terminate your access to the Service without prior notice.
2. The Service is available only to users who are at least 18 years old and is not offered to minors. If you are under 18, stop using the Service immediately. If we inadvertently collect personal data from a minor, we will delete it within 15 business days after receiving notice or discovering it through our own review. If your jurisdiction imposes stricter requirements for the protection of minors’ data, you must stop using the Service.
3. OUR INTELLECTUAL PROPERTY
1. Our Intellectual Property. The App’s source code, user interface (UI), product logic, proprietary terms (including Key Thought, Reflection Constellation, and Final Reflection), and related materials are the intellectual property of us or our licensors and are protected by copyright and other applicable laws. Without our prior written permission, you may not copy, decompile, reverse engineer (except to the extent necessary for interoperability testing permitted under Section 1201 of the Digital Millennium Copyright Act), disassemble, redistribute, or imitate the App.
2. User Content You Submit. You retain intellectual property rights in the text you enter, Journal content you save, and other content you submit. You grant us a limited license to process and compute on that content and generate AI outputs solely to the extent necessary to deliver the Service. We may use third-party AI service providers to process text you submit, subject to the data processing agreements between those providers and us and to the Privacy Policy. This license is limited to service-delivery purposes, does not authorize distribution to third parties, and does not permit use for training general-purpose AI models. See the Privacy Policy for additional details.
If content you submit infringes the lawful rights or interests of any third party, you are solely responsible for all resulting legal liability. For risk-control purposes, we may delete or block noncompliant content without notice.
3. AI-Generated Outputs. Key Thought, Reflection Constellation, Final Reflection, and other AI-generated outputs are generated through the Service. You may use such outputs in the ordinary course of using the Service. AI outputs are not guaranteed to be accurate or error-free, and you are responsible for evaluating whether they are reasonable and appropriate.
4. Prohibited Uses. Without our prior written permission, you may not scrape or crawl content from the App, or use text or outputs from the Service to create datasets, conduct data mining, or train or develop AI models.
4. SUBSCRIPTIONS AND PAYMENT
Elira’s paid membership subscriptions and automatic-renewal services are also governed by the following supplemental agreements, which form part of these Terms:
• Membership Service Agreement
Governs paid membership benefits, subscription activation, cancellation, refunds, membership termination, and related rights and obligations.
• Automatic Renewal Agreement
Governs recurring billing, renewal timing, renewal charges, cancellation of automatic renewal, and related renewal rules.
If there is a conflict regarding membership-specific matters, the Membership Service Agreement controls. If there is a conflict regarding automatic-renewal matters, the Automatic Renewal Agreement controls.
1. The Service offers a limited free allowance as well as paid subscription services. The applicable free-use limits and paid membership usage limits are displayed in the App and may vary by subscription status. Paid subscriptions are available only through Apple App Store in-app purchases and are not supported through other payment channels. We do not collect or store your bank card or other payment information; all payment processing is handled by Apple.
2. Automatic Renewal. Subscriptions automatically renew. If you do not wish to continue your subscription, you must turn off automatic renewal in your Apple ID account subscription-management settings at least 24 hours before the end of the current subscription period. If you do not do so in time, your subscription will automatically renew and your payment method will be charged. Deleting the App does not cancel a subscription, and uninstalling the App does not stop charges. You must cancel the subscription through your Apple ID.
3. Effect of Cancellation. After you turn off automatic renewal, you may continue using all subscription benefits through the remainder of the current paid period. Cancellation takes effect only for the next billing period.
4. Refunds. Subscription refund requests are handled by the Apple App Store and are subject to Apple’s official refund policies. We cannot directly process refund requests; please submit any refund request directly to Apple. With your consent, we may provide Apple with the subscription status and benefit-usage information associated with the relevant order for purposes of reviewing the refund request.
5. We may modify subscription plans and pricing. Any price changes will be communicated in accordance with App Store rules.
5. USER CONDUCT AND PROHIBITED CONTENT
When using Elira, you agree that you will not engage in the following conduct or use the Service to generate, upload, or distribute the following types of content:
(1) Content involving violence, encouragement or instruction of self-harm or suicide, pornography, hatred, discrimination, threats, insults, unlawful conduct, or criminal activity;
(2) Third-party sensitive information, including another person’s private information, identification documents, bank card information, or passwords;
(3) Attempts to bypass product restrictions, use crawlers, make bulk calls, conduct brute-force access, or reverse engineer or crack the Service;
(4) Use of AI outputs for high-impact decisions such as medical diagnosis, psychological treatment, legal judgments, or credit assessments;
(5) Use of the Service for commercial profit or to provide psychological counseling, medical, or treatment services to others;
(6) Defamation or infringement of third-party rights, including rights of publicity, privacy, or intellectual property rights;
(7) Transmission of viruses or malicious code, or interference with or disruption of the normal operation of the platform;
(8) Use of a VPN or proxy tool to intentionally conceal your geographic location in violation of local laws or regulations; or
(9) Any other conduct that violates the laws or regulations applicable where you are located.
If you engage in any of the foregoing conduct, we may, without prior notice, issue warnings, restrict certain features, suspend or terminate all access to the Service, delete noncompliant content, or take other appropriate measures. You are responsible for all claims and losses suffered by us or any third party as a result of your conduct.
6. CHANGES, INTERRUPTIONS, AND TERMINATION OF THE SERVICE
1. We continuously iterate and improve the product and may add, modify, or remove features. We will endeavor to provide in-app notice of material changes.
2. The Service may be temporarily interrupted due to system maintenance, server failures, failures of third-party service providers, force majeure, or similar circumstances. We do not guarantee uninterrupted availability of the Service.
3. The Service may be terminated in the following ways:
(1) You may stop using the Service at any time by uninstalling the App;
(2) If you violate applicable rules, we may directly restrict or block your access to the Service; or
(3) If the product is discontinued in its entirety, we will provide notice as far in advance as reasonably practicable.
4. After Termination of the Service. Journal and session data stored locally on your device will remain on that device; uninstalling the App will delete local data. Personal data retained on our servers will be deleted or anonymized in accordance with the data-retention rules in the Privacy Policy.
5. If your access to the Service is restricted or terminated because you violated this Agreement, fees already paid will not be refunded. See the Membership Service Agreement for details.
7. COMPLAINTS, REPORTS, AND APPEALS
1. If you discover unlawful or noncompliant content, infringement, or a violation of your rights, you may submit complaint materials by emailing our privacy contact at hello@withelira.com.
2. We are not obligated to conduct advance review of all user content. After receiving a valid complaint, we will investigate and may, as appropriate, delete content, restrict access, terminate the Service, or take other measures.
3. If you believe we incorrectly restricted or blocked your access, you may submit an appeal to the email address above. Your appeal materials should include a description of the event and relevant circumstances. We will review the appeal and respond by email within 45 days after receipt. If necessary, we may extend that period by an additional 45 days and will notify you of the extension.
8. DISCLAIMERS (IMPORTANT)
1. THE SERVICE IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE MAKE NO EXPRESS OR IMPLIED WARRANTIES. WE DO NOT WARRANT THAT AI OUTPUTS WILL BE COMPLETELY ACCURATE OR MEET YOUR EXPECTATIONS, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR FREE OF SOFTWARE DEFECTS.
2. THE SERVICE IS NOT A MEDICAL OR MENTAL-HEALTH TREATMENT SERVICE. ALL AI OUTPUTS ARE PROVIDED ONLY AS TOOLS TO SUPPORT EXPRESSION AND MAY NOT SUBSTITUTE FOR DIAGNOSIS, TREATMENT, OR CRISIS INTERVENTION BY QUALIFIED PROFESSIONALS. IF YOU HAVE A MENTAL-HEALTH CONDITION OR ARE EXPERIENCING AN EMOTIONAL CRISIS, SEEK HELP FROM AN APPROPRIATE OFFLINE PROFESSIONAL OR ORGANIZATION. YOU ASSUME ALL RISKS ARISING FROM RELIANCE ON AI OUTPUTS.
3. The platform may contain links to third-party resources, including crisis hotlines and the App Store. Third-party services are governed by their own terms of service and privacy policies. We are not responsible for third-party content or conduct, and you access third-party sites at your own risk.
4. To the maximum extent permitted by law, we, our affiliates, and our service providers will not be liable for indirect losses, emotional distress, or losses arising from data loss. This limitation does not exclude any liability that cannot be excluded under mandatory applicable law.
Notice: Some jurisdictions do not allow the exclusion of implied warranties or certain limitations of liability. Accordingly, the foregoing limitations apply only to the extent permitted by applicable law.
9. CHANGES TO THIS AGREEMENT
We may revise this Agreement as a result of product updates or legal and compliance requirements. Material changes will be communicated through in-app pop-ups or notices. Your continued use of the App after an updated version is published constitutes your acceptance of the revised Agreement.
If you do not accept the updated Agreement, you must immediately stop using the Service.
10. GOVERNING LAW AND DISPUTE RESOLUTION
1. If you have questions about this Agreement, contact us at our privacy contact email: hello@withelira.com.
2. The parties will first attempt to resolve any dispute through good-faith, amicable discussions.
3. This Agreement and your use of the Service are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. Any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the Service must first be addressed through good-faith discussions. If the dispute is not resolved, it must be submitted to binding individual arbitration in San Francisco County, California, United States, under the Consumer Arbitration Rules of the American Arbitration Association (AAA), instead of litigation in court or a jury trial. You and we irrevocably waive the right to participate in any class action, class arbitration, representative action, or representative arbitration. All disputes must be resolved solely on an individual basis and may not be consolidated with the claims of any other person. The arbitration award will be final and binding on both parties and may be enforced by any court of competent jurisdiction.
The arbitration and class-action waiver provisions do not bind minors to the extent applicable law does not permit those provisions to apply to minors.
11. MISCELLANEOUS
1. You agree that this Agreement, together with the Privacy Policy, Membership Service Agreement, Membership Renewal Agreement, and any additional terms, constitutes the entire agreement between you and Elira regarding your use of the Service and supersedes all prior agreements and understandings, including any prior version of this Agreement, unless the parties have entered into a separate written agreement applicable to the Service that expressly governs the subject matter of this Agreement.
If any provision, or any portion of a provision, is found to be unlawful, invalid, or unenforceable, that provision will be modified and interpreted under applicable law to the greatest extent possible to accomplish its intended purpose, and the remaining provisions will continue in full force and effect unless otherwise stated herein.
2. You may not transfer or assign this Agreement or any rights or licenses granted under it. Elira may transfer or assign this Agreement without restriction. Any attempted transfer or assignment in violation of this Agreement is void. A waiver of any breach or default under this Agreement or any provision of it does not constitute a waiver of any subsequent breach or default or a waiver of the provision itself. This paragraph does not affect your rights to export or delete your own content, as described in the Privacy Policy.
3. If you breach this Agreement, Elira’s delay or failure to exercise any right under this Agreement does not prevent later exercise of that right and does not constitute a waiver. Elira’s waiver of any covenant, condition, or agreement you are required to perform does not constitute a waiver of any subsequent breach by you or of any other covenant, condition, or agreement under this Agreement.
